Supplemental Provider Terms and Conditions

These Supplemental Provider Terms and Conditions (these “Terms”) are entered into by and between OneRequest, LLC (together with all affiliates and subsidiaries, “OneRequest”) and the company or organization (such organization or entity is referred to as the “Dealer”) on whose behalf you, the user, are entering into these Terms. These Terms are entered into as of the date you electronically agree and acknowledge them through (the “Website”). You represent, warrant, and agree that you have the legal authority to bind the Dealer to these Terms.

These Terms (a) supplement the Terms of Use and Privacy Notice (collectively, the “Website Agreements”) that apply generally to your use, and to the Dealer’s use, of the Website, (b) form an integral part of the Website Agreements, and (c) should be read in tandem with the Website Agreements. Unless otherwise specified below, if there is a conflict between these Terms and the Website Agreements, these Terms apply.

The Dealer desires to become a participating vehicle provider (a “Provider”) on the Website. OneRequest agrees to allow Dealer to become a Provider in accordance with these Terms.

Provider Status. OneRequest agrees to make Dealer a Provider. As a Provider, Dealer will gain access to all of the functionality available to Providers, including being able to respond through the Website to requests for vehicles (“Vehicle Requests”) submitted by potential vehicle buyers (“Requesters”).  Dealer agrees to obtain a Requester’s personal information only if the Requester consents to such disclosure. Dealer acknowledges that communicating anonymously is important to Requesters, and Dealer agrees to communicate with Requester through the Website about the Vehicle Request without demanding Requester’s personal information for basic or preliminary Requester inquiries such as price and vehicle availability. Dealer agrees to not communicate or attempt to communicate with the Requester outside of the Website until the Requester consents to disclosure of Requester’s personal information. Dealer will refrain from directly or indirectly persuading or encouraging Requester to avoid use of the Website for future Vehicle Requests.

Dealer Transactions. All sales or other transactions Dealer may enter into as a result of Dealer’s use of the Website shall be in Dealer’s own name and for Dealer’s own account. Dealer is responsible for all sales, use, and excise taxes, and any other similar taxes, duties, and charges of any kind imposed by any federal, state, or local governmental entity on any amounts payable by Dealer hereunder (including state and local sales taxes) or with respect to any transaction entered into as a result of Dealer’s use of the Website.
